Welcome to DigitixMD RCM (“we,” “our,” “us”). These Terms and Conditions (“Terms”) govern your use of DigitixMD RCM’s Revenue Cycle Management services, including but not limited to medical billing, claims submission, denial management, patient billing, payment posting, insurance verification, and related administrative services (“Services”). By using our Services, you (“Client,” “you,” or “your”) agree to these Terms.

If you do not agree, you must not use our Services.


1. Scope of Services

DigitixMD RCM provides end-to-end revenue cycle management solutions, which may include but are not limited to:

  • Patient demographic entry and insurance verification

  • Coding compliance (ICD-10, CPT, HCPCS)

  • Charge entry and claim submission to payers

  • Denial management, appeals, and re-submissions

  • Payment posting (ERA/EOB)

  • Patient billing and collections

  • Monthly financial and performance reporting

  • Compliance with HIPAA and applicable healthcare regulations

Services may be customized based on a signed service agreement between the Client and DigitixMD RCM.


2. Client Responsibilities

You agree to:

  • Provide complete, accurate, and timely patient and insurance data

  • Ensure that clinical documentation supports all claims submitted

  • Maintain all required licenses, accreditations, and compliance standards

  • Cooperate with DigitixMD RCM staff for queries, audits, or information requests

  • Retain responsibility for the quality of clinical care provided to patients

DigitixMD RCM is not liable for delays or claim denials caused by incomplete, inaccurate, or delayed information provided by the Client.


3. Communication & Use of Information

By using our Services, you consent to receive communications from DigitixMD RCM via:

  • Email

  • Phone calls

  • SMS/text messages

  • Secure messaging platforms (if applicable)

Types of Communications:

  • Service updates and account notifications

  • Billing and payment reminders

  • Compliance alerts and regulatory notices

  • Customer support responses

  • Marketing and promotional materials (only if you opt in)

SMS/Text Messaging Consent:

  • By providing your mobile number, you agree to receive SMS/text messages related to your account and services.

  • Message frequency may vary. Standard message and data rates may apply.

  • You may opt out of SMS/text messages at any time by replying STOP to any message.

  • To receive help, reply HELP.

  • Your consent to receive SMS/text messages is not a condition of purchase or service.

  • Your phone number and SMS consent will be used exclusively by DigitixMD RCM and will not be shared, sold, or rented to third parties.

Required Communications:

You may not opt out of operational or legally required communications (such as billing notices, compliance-related alerts, or service-critical updates).

All communications will comply with HIPAA, TCPA, CAN-SPAM Act, and other applicable laws.


4. Compliance & Confidentiality

  • HIPAA Compliance – Both parties agree to comply with HIPAA, HITECH, and all applicable healthcare privacy laws.

  • Business Associate Agreement (BAA) – A BAA will be executed to govern PHI (Protected Health Information) handling.

  • Confidentiality – DigitixMD RCM will maintain confidentiality of all patient, financial, and organizational data.


5. Fees & Payment Terms

  1. Fees may be charged as a percentage of collections, a per-claim fee, or a fixed service fee, as outlined in the Service Agreement.

  2. Invoices will be issued monthly and must be paid within [30] days of the invoice date.

  3. Late payments may result in interest charges of [1.5% per month] and/or suspension of services.

  4. DigitixMD RCM is not responsible for payer reimbursement timelines.


6. Claim Submission & Collections

  1. DigitixMD RCM will submit claims in accordance with payer rules and industry standards.

  2. Final responsibility for payer reimbursement lies with the Client.

  3. DigitixMD RCM does not guarantee payment of claims by insurance companies, Medicare, Medicaid, or patients.


7. Data Ownership

  1. All patient and financial data remains the sole property of the Client.

  2. DigitixMD RCM retains the right to use aggregated, de-identified data for analytics and performance improvement.

  3. Upon termination of services, data will be returned to the Client within [30 days] upon written request.


8. Liability & Indemnification

  1. DigitixMD RCM shall not be liable for indirect, incidental, or consequential damages, including claim denials beyond its control.

  2. The Client agrees to indemnify and hold DigitixMD RCM harmless against any claims, liabilities, or damages arising from inaccurate data, non-compliance, or errors beyond DigitixMD RCM’s control.

  3. Maximum liability of DigitixMD RCM shall not exceed the fees paid by the Client for the Services in the preceding [3 months].


9. Term & Termination

  1. The Service Agreement will commence on the Effective Date and remain active until terminated.

  2. Either party may terminate with [60 days] written notice.

  3. DigitixMD RCM may immediately terminate services for:

    • Non-payment

    • Breach of compliance

    • Misuse of services

    • Fraudulent or unlawful activity


10. Technology & Access

  1. DigitixMD RCM may use its own billing software or access the Client’s EHR/PM systems, subject to agreed arrangements.

  2. The Client is responsible for maintaining secure system access and credentials.

  3. DigitixMD RCM is not responsible for downtime or errors caused by third-party systems.


11. Dispute Resolution

  1. Any disputes shall first be resolved through good faith negotiations.

  2. If unresolved, disputes shall be settled by binding arbitration in [State, USA], under the rules of the American Arbitration Association.

  3. Governing law shall be the laws of the State of [Insert State].


12. Amendments

DigitixMD RCM reserves the right to update these Terms at any time. Clients will be notified of material changes via email, SMS/text message, or platform notifications. Continued use of Services constitutes acceptance of updated Terms.


13. Entire Agreement

These Terms, together with the signed Service Agreement, Business Associate Agreement (BAA), and Privacy Policy, constitute the entire agreement between the Client and DigitixMD RCM and supersede all prior communications.
